Riftune Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "User"), and WenX Studio LTD. ("we," "us," or "our") concerning your access to and use of the Riftune mobile application and any related websites or services.
Riftune is a mobile application that generates music through AI large language model and provides a music player (the “AI Music APP Software”); associated media, any software associated with the online mode of the AI Music APP (if any, subject to any additional terms of service applicable to such online mode), and any and all copies of such software (collectively, the “AI Music APP”); and any written or printed materials, manuals, and any online or electronic documentation created for or in relation to the AI Music APP, and any and all copies of such materials (collectively, the “Documentation”) published by us. These Terms also apply to and govern your use of the services that support or are related to the AI Music APP (collectively, the “Services”).
As referenced herein, “user”, or “you”, means the person who uses the AI Music APP, the Documentation or Services by: (i) installing, accessing or using the AI Music APP Software; (ii) installing, accessing, or using the AI Music APP; or (iii) accessing or using the Documentation or Services. If you are a minor (i.e., below the age at which you can provide consent under the laws of your territory) you are not permitted to use the AI Music APP Software.
You must be at least 18 years of age to use the Services. By accessing, downloading, or using the Services, you represent and warrant (you are legally promising) that you are at least 18 years old and have the legal capacity to enter into these Terms.
By using the Services, you agree to be bound by these Terms and our Privacy Policy (https://www.wenxstudio.com/Riftune/privacy-policy), which is incorporated by reference. If you do not agree to all of these terms, or if you are not at least 18 years of age, you are expressly prohibited from using the Services and must discontinue use immediately.
2. License to Use the Services (EULA)
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to: (a) download and install one copy of the Riftune mobile application on a device that you own or control; and (b) access and use the Services, strictly for your personal, non-commercial use, in accordance with these Terms.
The AI Music APP is licensed to you, not sold. This License does not give you any title or ownership in the AI Music APP and should not be construed as a sale or transfer of any intellectual property or other rights to the AI Music APP. The License shall terminate automatically if you fail to comply with these Terms. In such event, you must uninstall all copies of the AI Music APP and the AI Music APP Software. You may also terminate the License at any time by uninstalling the AI Music APP Software from your Devices (including any archival copies).
3. User Accounts & Eligibility
- Eligibility: You must be at least 18 years of age to register for an account and use our Services.
- Account: You must register for an account to access the Services. You agree to provide accurate, current, and complete information and to keep your password and account credentials confidential. You are solely responsible for all activities that occur under your account.
- Account Security: You agree to notify us immediately at support@wenxstudio.com of any unauthorized use of your account.
4. Payments, Subscriptions, and Refunds
Our Services may include free-of-charge programs ("Free Use") and paid subscription programs ("Paid Subscriptions").
- Billing: All payments for Paid Subscriptions and in-app purchases are processed through the third-party app marketplace (e.g., the Google Play Store). You are subject to their payment terms and policies. We do not process or store your payment card information.
- Auto-Renewal: Paid Subscriptions are auto-renewing by default. This means your subscription will automatically renew for the same billing period (e.g., monthly, annually) unless you cancel it before the end of the current period.
- Cancellation: You must cancel your Subscription through the Google Play Store's subscription management page. Deleting the Riftune app from your device will not cancel your Subscription.
- Price Changes: We reserve the right to change our subscription prices. We will provide you with reasonable advance notice of any price changes.
- Refunds: All purchases are final and non-refundable, except as required by applicable law or as explicitly stated in the refund policies of the Google Play Store.
5. Acceptable Use Policy
WenX Studio LTD. provides the AI Music APP, the Documentation and the Service to Users only for personal, non-commercial and entertainment purposes, as limited and described by these Terms. You agree not to engage in conduct that violates any of these Terms, unless such conduct is expressly authorized by us in writing or otherwise authorized in these Terms.
Violation of any portion of these Terms may lead to temporary or permanent suspension of your account, or your access to the AI Music APP, the Documentation or Services. Violation of any portion of these Terms may, in some instances, require an investigation by WenX Studio LTD. (although WenX Studio LTD. is not obligated to do so or to monitor access to or use of the AI Music APP, the Documentation or Services), in accordance with these Terms.
You agree only to use the AI Music APP, the Documentation and the Services, or any part of them, in a manner that is consistent with these Terms. You agree not to use the Services to:
- Advertise or exploit in any manner the AI Music APP, Documentation or Services (in each case in whole or in part) for non-personal, commercial purposes.
- Use the AI Music APP, Documentation or Services in connection with unauthorized software, applications, services, or Devices. Such use may be illegal, voids any warranty, and is a breach of these Terms.
- Remove, disable, avoid, impair, descramble, or circumvent any security protections or any technical measures that control access to the AI Music APP, Documentation or Services, or attempt to probe, scan, or test the vulnerability of any WenX Studio LTD. system or network or breach any security or authentication measures.
- Upload or transmit any content that is unlawful, harmful, defamatory, obscene, pornographic, libelous, hateful, or racially/ethnically objectionable.
- Create nicknames that are offensive or provoke negative imagery.
- Manipulate the results of the AI Music APP in an unfair way or otherwise access or use the AI Music APP or Services in a manner that confers an unfair advantage or disadvantage to any player including yourself.
- Engage in abusive behaviors such as violent language, swear words, insults, or sexual harassment towards users, which may cause users emotional harm. Such behavior may lead to a restriction from customer service or other penalty determined by WenX Studio LTD. in its sole discretion.
- Solicit personal information from anyone under the age of 18.
- Reverse-engineer, decompile, or otherwise attempt to discover the source code of the Services.
- Use any bot, spider, or scraper to access the Services or extract data.
- Interfere with or disrupt the servers or networks connected to the Services.
5.1 Additional Prohibitions
You agree not to use the Services to:
- Prompt the AI to generate music that intentionally mimics the distinctive voice or style of a specific, recognizable artist without authorization.
- Attempt to reverse-engineer or "scrape" the underlying AI models provided by our partners.
- Use Riftune to create content that infringes upon the intellectual property rights (including "Right of Publicity") of any third party.
Any action which is not defined in these Terms that negatively impacts the delivery of the AI Music APP, Documentation or Services, or that negatively affects other players, may be subject to warning and penalty, including termination of the License granted to you herein.
6. Content: Your Content and AI Content
AI-Generated Content: The Services use artificial intelligence, which may produce similar or identical outputs for other users. This output is not considered your User Content.
AI Disclaimer (Accuracy): The AI features are for entertainment purposes only. AI and machine learning are rapidly evolving fields, and the responses provided by the AI may contain errors or be factually inaccurate. You must not rely on AI-generated content as a substitute for medical, legal, financial, or other professional advice.
6.1 User Inputs
You retain ownership of any original lyrics or rhythmic audio recordings you submit to the Services ("User Inputs"). You grant WenX Studio LTD. a worldwide, royalty-free license to use, process, and share these inputs with our third-party AI providers (such as Suno or Mureka) solely to generate music for you.
6.2 AI-Generated Output
All music, audio files, melodies, and arrangements generated by the Services ("AI Output") are the exclusive property of WenX Studio LTD. and its licensors.
- Personal Use License: We grant you a limited, non-transferable, revocable license to play, share privately, and enjoy AI Output solely for your personal, non-commercial entertainment.
- Ownership Disclaimer: You acknowledge that under current law, AI-generated content may not be eligible for copyright protection. WenX Studio LTD. makes no guarantee regarding the "uniqueness" or "copyrightability" of any AI Output.
6.3 Prohibited Commercial Use
You are strictly prohibited from:
- Uploading AI Output to commercial streaming platforms (e.g., Spotify, Apple Music).
- Using AI Output for any revenue-generating activity, including advertisements or monetized social media.
- Extracting or downloading AI Output from the Services through any means not explicitly provided by the App interface (e.g., screen recording, audio scraping, or unauthorized file extraction).
6.4 Indemnification
By submitting User Inputs, you agree to indemnify WenX Studio LTD from any legal claims or fees that arise in relation to your content or your violation of these Terms.
7. Our Intellectual Property
Excluding your User Content, all content and software within the Services—including the AI "music," tone, lyrics, graphics, code, user interface, logos, and trademarks—are the exclusive property of WenX Studio LTD. and its licensors, and are protected by copyright and other intellectual property laws.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WENX STUDIO LTD. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT GUARANTEE THAT THE SERVICES WILL BE SAFE, SECURE, UNINTERRUPTED, OR ERROR-FREE, OR THAT ANY INFORMATION (INCLUDING AI-GENERATED CONTENT) WILL BE ACCURATE OR RELIABLE.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WENX STUDIO LTD., OUR DIRECTORS, OR OUR EMPLOYEES BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR SPECIAL DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL) ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS, REGARDLESS OF THE FORM OF ACTION, WILL AT ALL TIMES BE LIMITED TO THE GREATER OF: (A) THE TOTAL AMOUNT, IF ANY, PAID BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING; OR (B) ONE HUNDRED CANADIAN DOLLARS ($100.00 CAD).
WENX STUDIO LTD. SHALL NOT BE LIABLE FOR ANY AI OUTPUT THAT IS UNINTENTIONALLY SIMILAR TO EXISTING COPYRIGHTED WORKS, FACTUALLY INACCURATE, OR OFFENSIVE IN NATURE. YOU USE THE AI FEATURES AT YOUR OWN RISK.
10. Termination
We reserve the right to suspend or terminate your account and your access to the Services, at our sole discretion, at any time and for any reason (including for a breach of these Terms), without notice or liability.
Upon termination, your license to use the Services is immediately revoked, and you must stop all use of the AI Music APP. Sections 6 through 13 of these Terms shall survive any termination.
11. Governing Law and Jurisdiction
These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to its conflict of law principles.
You agree to irrevocably submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, Canada, to resolve any dispute or claim arising from these Terms or the Services.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms within the AI Music APP or on our website at https://www.wenxstudio.com/Riftune/terms-of-service. Your continued use of the Services after the effective date of the new Terms constitutes your acceptance of the changes.
